Updated September 2026 · market data verified methodology

A company management power of attorney delegates the day-to-day running of a UAE company to a manager or director you appoint: signing commercial documents in the ordinary course, dealing with the licensing registry, following up bank matters within stated limits and keeping the trade licence current. Shareholders use it when they are abroad, when they run several businesses at once, or when a professional manager is to operate the company without any change in ownership.

The mandate is drafted around the counterparties the attorney will actually face: the licensing authority — mainland DED or the relevant free zone registrar — the company's bank and the government portals the business files through. Each reads the document in its own way, and some will want their own paperwork on top of the POA, so the scope has to be written with those bodies in mind rather than as a one-size-fits-all text.

Where it is used

Licensing registries — DED on the mainland and free zone authorities — plus banks and government service centres

Typical situation

A shareholder or owner abroad delegates day-to-day management to an appointed manager or director

Language

Registered in Arabic; you approve a bilingual draft beforehand

Term

Fixed term, tied to a management period, or until revoked

Who uses this POA

  • Shareholders living outside the UAE whose company needs a local signing hand
  • Owners of several businesses delegating one company's operations to a manager
  • Companies appointing a general manager and defining — or restricting — that person's powers
  • Founders who travel often and need continuity in filings, renewals and bank matters
  • Family groups putting professional management in place without touching the shareholding

What the attorney can do

  • Sign commercial contracts, invoices and routine correspondence within the ordinary course of business
  • Represent the company before the licensing registry — licence renewal, amendments and periodic filings
  • Handle banking matters within the limits stated in the mandate
  • Manage staff paperwork — employment contracts and related visa filings — where the scope includes it
  • Sign applications and documents before government departments and follow up on them
  • Engage auditors, accountants or legal counsel on the company's behalf, if the mandate allows

Limits and practical notes

Check these before drafting — they decide whether an authority accepts your document.

  • Powers are read narrowly: the attorney can do what the mandate describes, and vague wording is the usual reason a filing is refused
  • Banks generally require their own mandate forms and a board or shareholders' resolution — a notarized POA alone rarely unlocks account operations
  • A free zone authority may have its own requirements for how a manager's mandate is worded, and some registries tie manager powers to the memorandum rather than to a POA — confirm with the company's registry
  • The POA cannot override the company's memorandum or the conditions of its licence; the attorney acts inside the scope the company actually has
  • Ending the mandate should be documented and notified to the registry and the bank, so a former attorney cannot keep signing

Documents to prepare

The principal (individual)

  • Passport copy of the principal
  • Emirates ID and visa page, if the principal is a UAE resident
  • Passport details of the appointed attorney
  • Company details — name, licence number and the registry where it is licensed

The principal (company)

  • Current trade licence of the company
  • Memorandum and articles of association (MOA & AA), with any amendments
  • Passports — and Emirates IDs where held — of the shareholders granting the mandate
  • Proof of the appointing person's authority — a shareholders' or board resolution, or the manager appointment record in the licence

General manager mandates

In free zone practice the manager named in the licence is often expected to run everything, yet the standard memorandum those registries issue lists few or no manager powers. Banks, landlords and government desks notice the gap: the person on the licence cannot show authority to open an account, sign a lease or appoint an adviser. The general manager mandate closes it — a POA in favour of the licence manager that enumerates the powers the articles are silent on.

The mandate is also where the manager's accountability is framed. A general manager acts for the shareholders, and a written scope shows what was delegated and what was not — which matters to banks doing diligence and to shareholders if a signing is ever questioned. Powers can be broad, but they are still enumerated; and where the manager needs to pass tasks on, sub-delegation can be granted explicitly rather than assumed.

  • Free zone memoranda are standard-form and rarely carry a manager powers clause — the POA supplies what the articles omit
  • Typical contents: banking, contracts, recruiting, branch or subsidiary registrations, appointing advisers
  • The scope doubles as the record of what the manager was and was not authorized to do
  • Sub-delegation — passing tasks to staff or advisers — only works where the mandate grants it

Frequently asked questions

Can a power of attorney be used to represent the company before government bodies?

Yes — representation before the licensing registry and government departments is one of the core powers, and it should be granted explicitly rather than implied. Each body verifies the mandate in its own way, and court litigation is usually covered by a separate litigation mandate rather than a management one.

Does this POA give the attorney access to the company bank account?

Only within the limits written into the mandate — and the bank will still require its own forms and a resolution updating the authorised signatories. Treat the POA as the basis for the bank's internal paperwork, not as a substitute for it.

Can the mandate be limited to specific tasks?

Yes. The scope can be comprehensive — full day-to-day management — or narrowed to named tasks such as licence renewal and a single bank matter. Narrower mandates pass registry and bank checks more easily, because the counterparty can see exactly what the attorney is authorised to do.

Does the POA replace appointing a manager in the trade licence?

No. The manager of record follows the licence and the memorandum, and some registries expect manager powers to flow from those documents. A management POA complements that setup — it is not a shortcut around the registry's own records.

What happens when the appointed manager leaves or we fall out?

Revoke the mandate formally and notify the registry and the bank in the same move. Without a recorded revocation, counterparties who dealt with the attorney in good faith may keep treating the document as live, which is the riskiest scenario for the shareholders.
