Power of Attorney Drafting Services in the UAE
A mandate is only as good as its wording — draft it for the counter that reads it.
Updated September 2026 · market data verified methodology
Drafting is the step where a power of attorney either works or does not: the text decides which signatures the attorney may make, which property or case the mandate covers, and whether the registry, bank or notary at the counter accepts it. UAE counterparties read mandates narrowly — a scope that misses one identification or one step is a scope they can decline, and they often do at the worst moment, when the transaction is already moving.
A tailored draft starts from the transaction, not from a template: who the parties are, what the attorney must actually do, which office will read the document and in which emirate. From that comes the choice between a general and a special mandate, the exact powers listed clause by clause, the identifications the counterparty will verify against, and a bilingual text that survives translation into the Arabic in which it will be registered.
Where it is used
Any mandate destined for UAE notaries, land departments, registries, banks and courts
Typical situation
A mandate drafted around one named transaction and the counterparty that will check it
Language
Prepared as a bilingual draft; the registered document is in Arabic
Deliverable
A draft for your review and amendments, finalized into a notarization-ready text
Who uses this POA
- First-time issuers who are not sure which powers their situation needs
- Parties to a property, company or court matter where the wording must match the file
- Applicants whose previous mandate was declined and needs a re-draft
- Non-residents preparing everything before a trip or a remote session
- Companies whose mandates must sit on top of corporate approvals
What the attorney can do
- Map your situation and the counterparty that will read the document
- Draft the scope clause by clause — each power named, limited and matched to the transaction
- Choose and justify the instrument: general, special, or a short single-task mandate
- Prepare the bilingual text and keep the English and Arabic versions consistent
- Incorporate your amendments and the notary's comments before finalization
- Hand the finalized text to the next step — notarization, legalization or translation
Limits and practical notes
Check these before drafting — they decide whether an authority accepts your document.
- Drafting cannot make an ineligible mandate valid — powers the law reserves to owners or to licensed professionals cannot be granted by wording
- The notary may still require adjustments at the session, so a finalized draft stays a draft until it is signed
- A scope written too broadly raises the risks every owner wants to avoid — misuse is easier with an open text than with a narrow one
- Wording conventions differ by emirate and by office, and a text tuned for one counter is not automatically tuned for another
- Only Arabic is registered — the English side of the draft is for your review, not a substitute for the Arabic text
Documents to prepare
The principal (individual)
- Passport copy of the principal
- Emirates ID and visa page, if the principal is a UAE resident
- Passport details of the appointed attorney
- The papers behind the mandate — title deed, licence, case number or deal documents, depending on the type
Why mandates get declined
Most declines trace back to the text rather than to the counterparty's mood. The scope says 'to handle my property' without identifying the unit; the mandate is dated for a deal that moved; the powers cover signing but not collecting the document; the text was written for a mainland office and is presented at a free zone counter. Each of these is fixable at drafting and expensive to fix at the counter.
The practical habit is to draft against the checklist of the office that will read the document: what it verifies about the principal, the attorney, the transaction and the age of the mandate. A draft that answers those questions in its own wording usually passes on the first visit — which is the quiet difference between a template and a tailored text.
- Vague scope — powers described in general words instead of named steps
- Missing identifications — no property details, share particulars or case number
- Stale details — an outdated date, address or document reference the counter cannot verify
- Wrong track — a text prepared for one emirate or registry presented at another
- Absent corporate approvals where the principal is a company
Frequently asked questions
Why not just use a template from the internet?
Because the template does not know your counterparty. UAE registries, banks and courts read mandates literally, and the details that get a document accepted — the identifications, the limits, the named steps — are exactly what a generic template leaves out. A tailored draft costs one round of review; a declined mandate costs the transaction's momentum.
Should the document be in Arabic or bilingual?
The registered document is in Arabic, so what matters is the Arabic text. A bilingual draft lets you review what you are signing before the session, and the two versions should be prepared together so the English review actually reflects the Arabic that will be registered.
How many amendments can I request?
As many as the text needs — the draft is iterated with you until it matches your transaction and you approve it. Amendments are easiest before finalization, which is why your review is scheduled ahead of the notarization session rather than squeezed into it.
Can you draft a POA for use outside the UAE?
Yes — the drafting logic is the same, but the destination changes the requirements: the country where it will be used sets the language, the notarial form and the legalization chain. Say at the start where the document is going, and the text is prepared for that route rather than assumed.
What happens after the draft is finalized?
It goes to notarization — through the notary office or the electronic notary systems where the mandate type is eligible — or into the legalization chain if it will be signed abroad. Drafting is the first step of the pipeline, and each next step is scheduled from the same file.
