COMPANY FORMATION IN JAFZA
To establish a company in JAZFA, the following documents are necessary:
- Application & EHS Application form (Typed)
- Passports copy of each Individual (Share Holders and Managers)
- Project Summary
- Letter from company to open branch company in JAFZA (In case of Branch Company formation)
- CV of shareholders
- NOC from sponsor for UAE residents applicants
- A one time non-refundable application fee of Dhs. 500
LEGAL STRUCTURE OF JAFZA COMPANIES
Free Zone Establishment (FZE) and Free Zone Company (FZCO): Jafza provides a distinctive opportunity for FZE and FZCO applicants to establish their own company as a separate legal entity. An FZE can be formed with a single shareholder, while an FZCO requires 2 to 5 shareholders. This enables entrepreneurs to benefit from Jafza’s offerings and create their desired business structure with ease.
Special Status Non-Resident Offshore Companies: JAFZA allows individuals and corporations to establish offshore companies as non-resident entities, with a corporate legal identity, under the regulations of Jebel Ali Free Zone Offshore Companies in 2003.
TYPES OF COMPANY LICENCES
Jafza issues various types of company licences
General Trading Licence enables the holder to import, distribute and store all items according to rules and regulations of Jafza.
Trading Licence enables the holder to import, export, distribute and store items specified on the license.
Industrial Licence empowers its holder to import raw materials, engage in the manufacturing of specified products, and export the finished goods to any country. This comprehensive authorization facilitates seamless international trade and ensures a streamlined production process.
Service Licence allows the holder to conduct the services specified in the licence within the Free Zone. The nature of the service must align with the license of the parent company, issued by the Economic Department or Municipality of the relevant Emirate in the UAE.
National Industrial License is designed for manufacturing companies with at least 51% ownership or shareholding by Arabian Gulf Cooperation Council (AGCC) nationals. The value added to the item in the Free Zone must be a minimum of 40%. This license grants the holder the same status as a local or AGCC national within the UAE.
